1. Who we are

This website is operated by NxDEV Solutions LLC, doing business as NX Dev Solutions, a limited liability company organized in Montana, United States. Our registered address is 1001 South Main Street, Kalispell, Montana 59901. We operate from Colombo, Sri Lanka. Contact us at info@nxdevsolutions.com.

In these terms, "we", "us" and "our" mean the company above. "You" means the person using this website or engaging us for work.

2. Using this website

You may browse this website, read the blog, send us an enquiry, and use the project assistant for lawful purposes. You agree not to misuse the site, attempt to access it or our systems without permission, send malicious code, scrape it in a way that harms its performance, or post content that is unlawful, abusive or misleading.

Content on this website is for general information. We may change, remove or add content at any time.

3. Services and project agreements

We provide software development services, including mobile apps, web and SaaS products, payment and API integrations, AI features, bug fixing and design conversion. Each engagement is governed by a written proposal, statement of work or invoice agreed by both parties (a "Project Agreement").

If a Project Agreement conflicts with these Terms, the Project Agreement applies to that engagement. Scope, deliverables, timeline and price are set out in the Project Agreement and may change only by written agreement.

4. Pricing and payment

All prices are in US dollars (USD) unless the Project Agreement says otherwise. We accept payment by card through Stripe, by bank transfer, and through other methods listed on an invoice. Stripe is a third-party payment processor, and its terms apply to payments you make through it.

Unless stated otherwise, projects begin after receipt of the agreed deposit. Milestone payments are due on the invoice date. Invoices are due within the period shown on the invoice. We may pause work on an overdue project until the outstanding amount is paid.

5. Cancellations and refunds

Deposits are non-refundable once work has started, because they reserve time and cover work already done. Milestone payments are non-refundable for work completed and accepted under the milestone. If we cannot deliver the agreed work, we will refund payments for work not performed, as set out in the Project Agreement.

If you cancel before work starts, we refund the deposit minus any non-refundable costs we have already incurred. Refund requests should be sent to the support address on our Support page. Approved refunds are returned to the original payment method where possible.

6. Client responsibilities

You must provide the information, access, content, approvals and feedback we reasonably need to deliver the work on time. Delays caused by late feedback or missing information may extend timelines and affect fees. You must have the rights to any content, trademarks, data or third-party materials you give us.

7. Intellectual property

Until you have paid for a deliverable in full, we keep all rights to it. When full payment is received, we transfer ownership of the custom work delivered under the Project Agreement to you, except for our pre-existing tools, libraries, frameworks and general know-how, which we license to you on a non-exclusive basis as needed to use the deliverables.

Unless the Project Agreement says otherwise, we may show completed work in our portfolio and marketing, but we will not disclose confidential information.

8. Confidentiality

We treat information you share for a project as confidential and use it only to deliver the work. This does not apply to information that is public, already known to us, or required to be disclosed by law. If you need a separate non-disclosure agreement, tell us before sharing sensitive information.

9. Third-party services and AI features

Our work may rely on third-party services such as Google Firebase, Stripe, Resend, app stores and AI model providers. Their terms also apply to your use of them, and we are not responsible for outages or changes they make.

The project assistant and any AI-generated text on this site may contain errors. Do not rely on it as professional, legal, financial or medical advice. Ask us to confirm any project scope or pricing in writing.

10. Warranty and limitations

We will perform services with reasonable skill and care. Unless the Project Agreement says otherwise, we will fix defects that we caused and that you report within the warranty period stated in the Project Agreement at no extra charge.

Except where the law does not allow it, our total liability for any claim relating to a project is limited to the amount you paid us for that project in the twelve months before the claim. We are not liable for indirect, incidental, special or consequential losses, including lost profits, lost data or business interruption.

The website and its content are provided as is, without warranties of any kind, to the extent permitted by law.

11. Termination

Either party may end a project by written notice, subject to the cancellation terms in section 5 and the Project Agreement. We may stop providing access to this website to anyone who breaks these Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Montana, United States, without regard to conflict of law rules. Before starting a legal claim, please contact us so we can try to resolve the issue informally. Any dispute that cannot be resolved this way will be brought in the state or federal courts located in the State of Montana, United States, unless the Project Agreement sets a different forum.

13. Changes to these Terms

We may update these Terms from time to time. The date at the top of this page shows when they last changed. Continued use of the site after a change means you accept the updated Terms. Changes do not affect a Project Agreement already signed unless both parties agree.
